HANSEN, Circuit Judge.
JCA Partnership and Kathryn Page, Trustee of the Estate of 0. Walter Johnson, appeal from the district court’s grant of summary judgment in favor of defendants on all counts and its dismissal of the case. Defendants are Wenzel Plumbing & Heating (WPH) and Lawrence Wenzel, WPH’s majority shareholder. Although the district court ultimately found in their favor, WPH and Wenzel cross-appeal to challenge the court’s finding of a breach of contract. We affirm in part and reverse in part.
