On May 19, 2008, the Securities and Exchange Commission (“SEC”) commenced this action against John Michael Kelly, Steven E. Rindner, and Mark Wovsaniker (collectively, the “Defendants”), who are former senior managers of America Online, Inc. (“AOL”) and its successor corporation Time Warner, Inc. (“Time Warner”).
