This case involves complex retrocessional agreements between Plaintiff Munich Reinsurance America Inc. (“Munich”) and Defendant American National Insurance *689Company (“ANICO”). Presently before the Court are two motions: Munich’s motion for partial summary judgment, pursuant to Federal Rule of Civil Procedure 56(e), on its breach of contract and declaratory judgment claims against ANICO and on ANICO’s rescission counterclaim, as well as ANICO’s cross-motion for summary judgment.
