Appeal from chancery court of Attala county. Hon. A. Y. "Woodward, Chancellor. Suit by Carrie S. Applewhite and others against L. Niles Boyd and others. Decree for plaintiffs, and defendants appeal. Affirmed in part, and reversed in part.

There is involved in this proceeding the liability of the directors and officers .of the C. C. Kelly Banking Company, a corporation, to the minority stockholders for alleged gross negligence in the management of the bank. The suit as now styled is a consolidation of two suits instituted by the stockholders against the said directors and officers. There were demurrers to the bills in both cases, and from decrees overruling the demurrers appellants prosecuted an appeal to this court, and the decrees of the chancery court were affirmed in Kelly v.
