On October 29, 1978, plaintiff Robert Brockman filed a complaint in the Wayne County Circuit Court seeking, inter alia, a declaratory judgment that he was the owner of a majority of the shares of stock in Art Brockman, Inc. (ABI), and also seeking damages for what he alleged was the fair rental value of certain machinery with Brockman Leasing, Inc. (BLI), had leased to ABI. Defendant Arthur C.
