MEMORANDUM OPINION AND ORDER
MONTGOMERY, District Judge.
I. INTRODUCTION
This matter is before the undersigned United States District Judge on the cross Motions for Summary Judgment of Plaintiff William Miller (“Miller”) and Defendant ACE USA, d/b/a Ace American Insurance Company (“ACE”) [Docket Nos.-10, 8,14]. Miller seeks a declaratory judgment that ACE has a duty to defend a third-party action against him, while ACE requests summary judgment on all counts of the Complaint, or, alternatively, on the claims of breach of fiduciary duty and breach of the duty of good faith and fair dealing.
