This cause is before us upon an appeal by the plaintiffs from a judgment of dismissal following the sustaining, without leave to amend, the defendant ’s demurrer to the plaintiffs’ second amended complaint. Motion to file a second amended complaint was also denied.

The action is for an accounting for and on account of 137 shares of the capital stock of the-defendant bank, belonging to William Wallace Flatt, now deceased, pledged by him to the Citizens Commercial Trust and Savings Bank of Pasadena, hereinafter referred to as “Citizens Bank,” as collateral security for the paj^ment of moneys…
