OPINION

This action arises out of an alleged attempt by the defendants to take over control of plaintiff General Time Corporation (Time) and merge it into Talley Industries (Talley). Time is a Delaware corporation with its principal place of business in Connecticut. The defendant, American Investors Fund, Inc. (Fund), is a diversified open-end investment company incorporated in New York and subject to the provisions of the Investment Company Act of 1940, 15 U.S.C. §§ 80a-l et seq.
