MEMORANDUM OPINION AND ORDER
PLUNKETT, District Judge.
This is a shareholder derivative action brought under Fed.R.Civ.P. 23.1 on behalf of Sundstrand Corporation and against eighteen officers and directors of Sundst-rand, based on violations of the Racketeering Influenced and Corrupt Organizations Act (“RICO”), RICO conspiracy, violations of the Foreign Corrupt Practices Act (part of the Securities Exchange Act of 1934), § 14(a) of the Securities Exchange Act, and pendent state law claims.
