McDONOUGH, justice.

This is an appeal from a decree of the District Court which (1) enjoins the Provo Bench Canal and Irrigation Company, hereinafter referred to as the defendant, from entering into, and performing under a proposed contract with the Provo River Water Users’ Association, a corporation, whereby the former is to subscribe for stock and thus render its own stock subject to assessment in order to secure water from the so-called Deer Creek Project; and (2) holds that certain amendments to the Articles of Incorporation of defendant (hereafter discussed) were beyond the power of the…
