Before the Court are defendants’ motion to dismiss, plaintiffs opposition thereto, and defendants’ reply. 1 A plaintiffs factual allegations must he presumed true and liberally construed in Ms favor when reviewing the adequacy of a complaint for purposes of a Rule 12(b)(6) motion.
