SUBSTITUTE OPINION

KEM THOMPSON FROST, Justice.

We overrule the motion for rehearing filed by appellants Edward Bass and Cary L. Bass. We withdraw the opinion issued in this case on November 7, 2002, and we issue the following opinion in its place.

Appellants Edward Bass and Cary L. Bass challenge the sufficiency of the evidence supporting the trial court’s determination that they brought this derivative suit without reasonable cause.
