1Opinion of the Court

GEE, Circuit Judge:

The Tennessee Valley Authority (“TVA” or “Authority”) appeals from an order of the United States District Court for the Northern District of Alabama requiring that its “headquarters” in Knoxville, Tennessee, be packed up and moved to Muscle Shoals, Alabama. The district judge found this relocation necessary to bring TVA into compliance’ with section 8(a) of the Tennessee Valley Authority Act of 1933, 16 U.S.C. § 831g(a), which reads in pertinent part: “The corporation shall maintain its princi pal office in the immediate vicinity of Muscle Shoals, Alabama.” 1
