I. INTRODUCTION

Defendants Balfour Beatty pic (“Balfour”) and BICC Cables Corporation (“BICC”) have moved to dismiss the com plaint filed in this action pursuant to Fed. R.Civ.P. 12(b)(2) and 12(b)(6). Plaintiff ACE & Company, Inc. (“ACE”) filed suit against defendants alleging breach of contract. Defendant Balfour is a limited liability corporation incorporated in England and Wales.
