In 1995, American National Can Company (“ANC”) decided to sell its Food Metal & Specialties Division (“Food Metal”) to Silgan Containers Corporation (“Silgan”). This case concerns the benefits to which certain salaried employees of Food Metal believed they were entitled as a result of that event under the Employee Retirement Income Security Act (“ERISA”), 29 U.S.C. § 1001 et seq.
