OPINION

BROTMAN, District Judge:

Presently before the Court is the motion for summary judgment of plaintiff and third-party defendant Resolution Trust Corporation (“RTC”). For the reasons set forth below, the motion is granted.

I. Facts and Procedural Background

In July 1986, Thomas Wilson and Teddy Menas entered into a partnership agreement to develop a single commercial lot in North-field, New Jersey.
