MEMORANDUM OPINION AND ORDER

The plaintiff Joel Gordon (“Gordon”), a citizen of Illinois, has brought a twelve-count First Amended Complaint (“complaint”) against Matthew Bender & Company, Inc. (“Matthew Bender”), a New York corporation with its principal place of business in New York. The Court has subject matter jurisdiction based on diversity of citizenship and the existence of a federal question. 28 U.S.C. §§ 1331 and 1332.
