This is an article 78 proceeding by which petitioner, Digital Paging Systems, Inc. (hereinafter referred to as “ Digital ”) seeks to annul a determination of the Public Service Commission which refused to authorize the purchase by petitioner of 189,998 shares of the voting capital stock of Radio Relay Corp. (hereinafter referred to as “Radio Relay”) and the conversion of $150,000 convertible debentures of Radio Relay into 51,300 shares of common stock of Radio Relay.
