*238 {¶ 1} In this appeal, appellants, the Office of Ohio Consumers' Counsel ("OCC"), the Kroger Company ("Kroger"), and the Ohio Manufacturers' Association Energy Group ("OMAEG"), challenge appellee Public Utility Commission's, decision to allow intervening appellee, Dayton Power and Light Company ("DP&L"), to withdraw and terminate its second electric-security plan ("ESP II").
