I. BACKGROUND
This case is a class action brought by certain shareholders of Western Digital Corporation (‘WDC”) against WDC and several of its officers and directors. 1 Plaintiffs allege that Defendants committed federal securities fraud in violation of §§ 10(b) and 20(a) of the Securities Exchange Act of 1934 (“1934 Act”) and Rule 10b-5 of the Securities Exchange Commission (“SEC”) regulations promulgated thereunder.
