THOMPSON, District Judge.

The plaintiffs, who are participants in two Xerox Corporation 401(k) retirement income plans, contend that the defendants, who are Xerox Corporation (“Xerox” or the “Company”) and certain of its present and former directors, officers, and employees, breached fiduciary duties under the Employee Retirement Income Security Act of 1974, as amended (“ERISA”) in connection with investments in Xerox common stock.
