I. INTRODUCTION

Steven M. Notinger, as chapter 7 trustee (the “Trustee”) of Robotic Vision Systems, Inc. (the “Debtor” or “RVSI”), filed a twenty-three count complaint against seven former directors of the Debtor seeking, among other relief, to recover for breach of fiduciary duty to RVSI and its creditors and objecting to the directors’ proofs of claims.
