INTRODUCTION
This matter involves a Constitutional challenge under the dormant Commerce Clause to Minnesota Statute § 216B.246, which grants incumbent electric utilities a *700right of first refusal to build and own electric transmission lines that connect to their existing facilities. Plaintiff LSP Transmission Holdings ("LSP") alleges that the statute discriminates against out-of-state transmission developers in favor of in-state utilities.
