I. INTRODUCTION
This shareholder securities class action was brought against Impac Mortgage Holdings, Inc. (“Impac”), a publicly traded real estate mortgage company, its Chairman and Chief Executive Officer, Joseph Tomkinson, its Chief Financial Officer, Richard Johnson, and six other officers or directors of the company (collectively, “Defendants”).
