OPINION
FARNAN, District Judge.
I. INTRODUCTION
Plaintiff William Seidel commenced this action on February 3, 1992 by filing.a class action against numerous defendants alleging various violations of the federal securities laws. Ronald Goldstein filed a substantially identical complaint on February 5, 1992. On May 14, following an order of the Court to consolidate, the Plaintiffs filed a Consolidated Amended Complaint.
