MEMORANDUM OPINION ON LEIGH-TON’S MOTION FOR DISGORGEMENT AND TURNOVER OF INTERIM FEES

This bankruptcy case was filed by Debt- or Kids Creek Partners, L.P. (“Debtor”) under Chapter 7 of the Bankruptcy Code, Title 11 U.S.C. § 101 et seq. In December 1994, the Chapter 7 Trustee, David R. Herzog (“Herzog” or “Trustee”), entered into an agreement with Leighton Holdings, Ltd. (“Leighton”) which stated, inter alia, that if tfie Trustee brought a certain Adversary Proceeding against Leighton and Leighton prevailed, Leighton would have a superpriority claim…
