OPINION
CEDARBAUM, Senior District Judge.
This is an action by the would-be purchaser of all the stock of Four Star Holdings, Inc. (“Four Star Holdings”) complaining of defendants’ failure to consummate an alleged agreement for the sale of the company- to plaintiff. Defendants move to dismiss- the complaint pursuant to Fed.R.Civ.P. 12(b)(6) for failure to state a elaim upon which relief can be granted. For the reasons discussed below, plaintiffs securities fraud claim is dismissed for failure to meet the “in connection with” requirement of the federal securities law. The state claims are…
