Trial by jury having been waived by the parties, and the Court having heard the testimony of witnesses, reviewed the transcript of the evidence and exhibits, considered the briefs, proposed findings of fact and conclusions of law submitted by each of the parties, and heard oral arguments of counsel, makes the follow ing findings of fact and conclusions of law:
