OPINION

LAMB, Vice Chancellor.

A disgruntled investor, who owns an indirect interest in a Delaware limited liability company, brings an action to inspect that entity’s books and records pursuant to contractual provisions in the organizational document of the LLC which, the investor believes, grant it an unrestricted right of access to sensitive and proprietary information concerning the entity’s operations.
