MEMORANDUM OPINION

HATTER, District Judge.

This cause of action arises from the decision of Gulf Oil Corporation (“Gulf”) to withdraw from the Southern California gasoline market and to sell its service stations in the area to Thrifty Oil Company (“Thrifty”). With the exception of plaintiff Herb Schweizer, 1 each plaintiff occupies and operates a gasoline service station under a lease originally executed with Gulf before June, 1978.
