MEMORANDUM

MOTZ, District Judge.

This is a shareholder derivative action brought by Max Grill against the current and former members of the board of directors of MNC Financial, Inc. (“MNC”). Plaintiff alleges that the defendants committed various acts or omissions constituting waste and mismanagement, including permitting MNC to make a “perilously high” percentage of real estate loans, authorizing loans with incomplete documentation and inadequate credit analyses and failing to maintain adequate loan loss reserves. 1 Defendants have moved to dismiss on the ground that plaintiff has failed to…
