Invoking diversity jurisdiction, Fair-child Stratos Corporation (hereafter called “Fairchild”), a Maryland corporation, having its principal office and place of business in Hagerstown, Maryland, has filed a proceeding for a declaratory judgment against The Siegler Corporation, a Delaware corporation, having its principal office in California, which acted in the transaction through its Hufford Corporation Division (hereafter called “Hufford”).
