OPINION AND ORDER

LEISURE, District Judge:

This is a diversity action for quantum meruit, breach of contract, and account stated. Defendants, Robert Y. Garrett, IV (“Garrett”) and Jay F. Luby (“Luby”) move pursuant to Federal Rule of Civil Procedure (“Rule”) 12(b)(6) to dismiss plaintiffs, Liddle & Robinson, LLP’s (“Liddle”), Amended Complaint in its entirety. For the reasons stated below, defendants’ motion to dismiss plaintiffs Amended Complaint is DENIED IN PART and GRANTED IN PART.
