MEMORANDUM
SURRICK, District Judge.
Presently before the Court is Defendants’ Motion to Dismiss the Amended Complaint. (Doc. No. 13). For the following reasons, the Amended Complaint will be dismissed.
I. BACKGROUND
This is a securities fraud action brought by real estate investment trusts (collectively, “Plaintiffs”) that purchased mortgage-backed securities in August 2005. (See Am. Compl. ¶¶ 1,13.) Plaintiffs purchased the mortgage-backed securities from mortgage banking institutions associated with Merrill Lynch (collectively, “Defendants”), which underwrote and issued the securities. (Id. ¶…
