OPINION

This matter is before the court on Defendants’ Motion to Dismiss Plaintiffs Amended Complaint. For the following reasons, I grant the motion and dismiss the Complaint.

Plaintiff Louis Rossi brings this action against defendants John Quarmley, James Morton, III and Principia Ventures LLC for violation of the Securities Exchange Act of 1934. 15 U.S.C. §§ 78a-78pp. Specifically, in his Amended Complaint, plaintiff claims that defendants Quarmley and Morton fraudulently manipulated plaintiff into selling them plaintiffs interest in Principia Ventures LLC.…
