On September 28, 1962, the stockholders of Virginia-Carolina Chemical Corporation (“VC”) approved an amendment to its certificate of incorporation, providing for the conversion of all outstanding shares of VC’s 6% Cumulative Dividend Participating Preferred Stock (the “Old Preferred”) into newly authorized shares of stock and the cancellation of all dividend arrearages on the Old Preferred. On the same day, VC filed articles of amendment with the State Corporation Commission, and the Commission entered an order issuing a certificate of amendment.
