This case is before the Court on the motion of defendants Estrin, Abod, Steinberg, Sloan, Frankel and Human Service Group, Inc. (“HSG”) to dismiss the complaint. The plaintiff charges the named defendants with violation of Section 10(b) of the Securities and Exchange Act of 1934 (15 U.S.C. § 78j(b)) and Rule 10b-5 (17 C.F.R. § 240.- 10b-5), as well as fraud, breach of fiduciary duty and breach of contract. 1 These defendants seek to dismiss this action on four grounds: one, that any claim under the federal securities laws is time-barred by the two-year…
