OPINION

SAROKIN, District Judge.

In this insider trading action, defendants move to dismiss the complaint or, in the alternative, for summary judgment.

The summary judgment motion requires the court to determine whether plaintiff is entitled to discovery. Absent discovery he cannot refute the factual assertions of defendants which, in essence, deny plaintiff’s allegations of insider trading. On the one hand, to deny discovery deprives plaintiff of the opportunity of challenging the facts tendered by defendants in support of their motion.
