Plaintiffs Bricklayers and Masons Local Union No. 5 Ohio Pension Fund (“Bricklayers”) and DeKalb County Pension Fund (“DeKalb”) bring this putative class action asserting claims for violation of Sections 14(a) and 20(a) of the Securities Exchange Act of 1934 (“Exchange Act”), 15 U.S.C. *228§§ 78n(a), 78t(e), against Transocean Ltd.
