These consolidated actions were brought pursuant to Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and Rule 10b-5 against BHP Billiton Limited, BHP Billiton Pic (together, “BHP”), and certain of BHP’s officers and directors (the “Individual Defendants”, and, together with BHP, “defendants”), on behalf of a putative class of investors who purchased BHP American Depositary Receipts (“ADRs”) between September 25, 2014 and November 30, 2015 (the “Class Period”).
