OPINION
JOSEPH S. LORD, III, Chief Judge.
Plaintiff, the Securities and Exchange Commission (“SEC”), alleges that various corporate and individual defendants, by virtue of numerous acts and omissions, have violated section 17(a) of the Securities Act of 1933 [15 U.S.C. § 77q(a)], sections 10(b) and 13(a) of the Securities Exchange Act of 1934 [15 U.S.C. §§ 78j(b), 78m(a)] and Rules 10b-5 and 13a-l promulgated by the SEC [17 C.F.R. §§ 240.10b-5, 240.13a-l]. Six of the defendants have filed motions to dismiss and for summary judgment.
