BACKGROUND AND PROCEDURAL HISTORY

This case is currently before the court after trial on the question of damages. Plaintiffs are former shareholders of Benja*223min Franklin Federal Savings and Loan Association (Franklin), an Oregon thrift which was seized by government regulators and placed into conservatorship in February 1990. Plaintiffs brought suit in 1990, both individually and derivatively on behalf of Franklin, for the breach of an alleged contract plaintiffs contend Franklin had with government regulators regarding the regulatory treatment of goodwill created…
