The court has before it several motions to dismiss by the defendants. Defendants United Agricultural Cooperative, Inc., f/k/a/ Farmers Cooperative of El Campo, and Eagle Lake General Store (incorrectly sued as “Eagle Creek General Store”) (collectively referred to herein as “defendants” or “United Ag”), filed a motion to dismiss for lack of personal jurisdiction and improper venue (Dkt. 16) as well as a *1191motion to dismiss for failure to state a claim (Dkt. 19).
