Before the court are the defendants’ motions to dismiss plaintiffs’ third amended complaint (hereinafter referred to as “the complaint” and cited to as “TAC”) (# 161, *1108# 170 & # 171). Plaintiffs have opposed (# 169, 170, 171), and defendants have replied (# 174,179,180).1
