MEMORANDUM RULING
STAGG, District Judge.
The parties have filed cross motions for summary judgment. Louisiana Nevada Transit (“LNT”) seeks to permanently enjoin Marathon Oil Company (“Marathon”) from terminating the Gas Sales Agreement. Marathon’s counterclaim asks for a declaratory judgment that the Gas Sales Agreement terminated on January 4, 1990, by exercise of an option to terminate. Marathon’s motion for summary judgment does not address its other asserted grounds for termination of the contract, nor does it address damages for wrongfully obtained preliminary injunctive relief.
