OPINION
FRYE, District Judge:
The matter before the court is defendants’ motion to dismiss plaintiffs’ amended complaint pursuant to Fed.R.Civ.P. 12(b)(6) and 9(b).
The amended complaint contains the following claims for relief: common law fraud, violations of Oregon securities law, Oregon racketeering, common law breach of fiduciary duty, common law negligence and negligence per se, violations of the federal Securities Act of 1933 (Sections 12(2) and 15), violations of the federal Securities Exchange Act of 1934 (Sections 10(b) and 20 and Rule 10b-5), failure to supervise, and federal…
