On February 19, 2003, Andrew E. Lew-in, Clement Lewin, and Marina Lewin (collectively, the “Lewins”) filed a complaint (“Lewin Complaint”) against Lipper Convertibles, L.P. (“Convertibles” or “Partnership”), a hedge fund; PricewaterhouseCoopers LLP (“PwC”), Convertibles’s auditor; Lipper Holdings, LLC (“Holdings”), Convertibles’s general partner; Lipper & Company, L.P.
