¶1 RSD AAP, LLC is a partner in the Auriga/Aurora General Partnership (AAGP). RSD appeals the trial court’s summary dismissal of its lawsuit against another partner, Alyeska Ocean, Inc. (AOI). RSD asserts that the trial court erred by holding that (1) the right of first refusal provision set forth in the partnership agreement was not triggered, (2) the partnership agreement’s requirement that written consent from two-thirds of the partnership be obtained before encumbering a partnership interest was not breached, and (3) the fiduciary duty of loyalty or good faith and fair…
