OPINION

WHIPPLE, Senior District Judge.

This case was tried before the Court without a jury. After careful consideration of all credible testimony, the exhibits admitted into evidence, oral arguments, and post-trial submissions; the Court hereby makes the following findings of fact and conclusions of law pursuant to Fed.R.Civ. 52.
