MEMORANDUM OPINION
ERWIN I. KATZ, Bankruptcy Judge.
This matter comes before the Court on the Motion of S.N.A. Nut Company (“Debtor”) to Strike the Affirmative Defense and Dismiss the Counterclaim of Haagen-Dazs Company, Inc. (“Haagen-Dazs”). Debtor was engaged in the business of processing and selling various types of nuts. On March 24,1994, Debt- or filed a voluntary petition for relief under Chapter 11 of the Bankruptcy Code (11 U.S.C.) (“Code”).
